Item 5.07. Submission of Matters to a Vote of Security Holders.
The annual meeting of stockholders of Yext, Inc. (the “Company”) was held on June 13, 2023. Stockholders of record of the Company’s common stock at the close of business on April 17, 2023 were entitled to vote at such meeting. For more information about the proposals voted on at the meeting, see the Company’s definitive proxy statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on April 28, 2023. The results of the voting at such meeting were as follows:
1. The Class III directors were elected to serve a three-year term expiring at the 2026 annual meeting of stockholders or until his or her respective successors have been elected and qualified. The three nominees receiving the largest number of affirmative votes representing shares of the Company’s common stock present and entitled to vote at the annual meeting were elected as the Class III directors by the following vote:
