Explanation of Responses:
1. Each restricted stock unit represents a contingent right to receive one share of Yext, Inc.'s common stock.
2. Includes 1,570 shares acquired pursuant to the Issuer's 2017 Employee Stock Purchase Plan.
3. This transaction was effected pursuant to non-discretionary, sell-to-cover arrangements mandated by the Issuer to fund tax withholding obligations in connection with the vesting of restricted stock units.
4. Reflects a weighted average sale price. These shares were sold in multiple transactions at prices ranging from $15.1000 to $15.3700, inclusive. The Reporting Person will provide, upon request by the staff of the Securities and Exchange Commission, the Issuer, or a security holder of the Issuer, full information regarding the number of common shares sold at each separate price
5. One-tenth of the shares subject to award vests on March 20, 2021 and then quarterly thereafter on each of June 20, September 20, December 20 and March 20 in each case subject to the executive's continued service on each such date, until such units are fully vested on June 20, 2023.
6. One-fifteenth of shares subject to award vests on March 20, 2021 and then quarterly thereafter on each of June 20, September 20, December 20, and March 20 in each case subject to the executive's continued service on each such date, until the award is fully vested on September 20, 2024.
7. One-sixteenth of shares subject to award vests on March 20, 2021 and then quarterly thereafter on each of June 20, September 20, December 20 and March 20, in each case subject to the executive's continued service on each such date, until the award is fully vested on December 20, 2024.
